Broomfield Business Formation Lawyer

business formation lawyer Broomfield, CO

Selecting the right business structure at the start often prevents serious legal troubles down the line. The type of structure you choose for the enterprise (LLC, corporation, sole proprietorship, etc.) also dictates your ability to raise capital, the kind of governing documents you need, and whether your personal assets are shielded from business liabilities. Our Broomfield, CO  business formation lawyer can help you choose the right structure. Then we can properly register it and guide you through the remaining legal matters required to formally open your doors. Call Volpe Law LLC today for a complimentary discovery call.

Business Formation Lawyer Broomfield, CO CON

Before you start a business, you must select a structure. Our advice starts with discussing your enterprise, goals, and capital needs, so we can recommend the best business form to achieve those goals. While it is possible to change the structure of a business, such as changing an LLC to a corporation, these changes can mean you incur serious tax penalties and complicate investor shares. Instead, we explain how each business structure works, what your options for raising capital or bringing on new investors are with each one, and what kind of taxation obligations you’d have with each structure.

Once we’ve determined the best structure for your business, we help you get it off the ground. Colorado businesses have specific reporting requirements they must complete and, depending on your industry, have certain compliance and licensing requirements. We assist with the applications for these and can prepare your reporting documents as required. We also advise you on regulatory compliance and perform periodic third-party compliance audits.

Business relationships are defined by contracts; our experienced Broomfield business formation lawyer can negotiate favorable contracts for a commercial lease, with your vendors, and with your business partners. We can draft contracts reflecting these agreements on your behalf, and review contracts that others ask you to sign. If we feel the terms of those contracts do not best serve your needs, we can act on your behalf to negotiate more favorable terms.

Each legal step of forming your business is handled by our experienced attorneys. This can include drafting corporate bylaws on your behalf, assisting with creating employee handbooks, and drafting employment contracts, including non-disclosure agreements and non-compete agreements, so your business and trade secrets are protected. And, we offer personalized, timely advice at each stage, so you can make responsible, well-informed decisions about the formation of your enterprise.
