Protect Your Business Interests with Our Colorado Commercial Contract Lawyer

Contracts, both written and oral, are the lifeblood of business transactions. Without strong contracts, business relationships between property owners, developers, contractors, vendors, and other interested parties can fall apart. Legally binding contracts, with clauses addressing dispute resolution, breach, and uncommon-yet-possible conditions, can make settling disputes easier and help the signatories avoid going to court. Our Colorado commercial contract lawyer can draft and review contracts to ensure they reflect your business interests and serve your needs.

Whether you need a real estate contract, vendor or subcontractor work agreements, employment contracts with non-disclosure and non-compete clauses, trust the attorneys at Volpe Law LLC. We know how important a well-drafted contract is for protecting your business and financial goals. Contact us today for more information.

Our Attorneys Offer Comprehensive Contract Drafting and Review Services

A bad contract may be less effective than no contract at all. Legally binding contracts, even oral ones, have specific elements they must contain. A lack of one or more elements can invalidate the contract, leaving you in a bind if it needs to be enforced. Some contracts are overly vague, making them open to wide interpretation, which can be equally dangerous. Our attorneys carefully construct each contract we draft to meet specific needs and include clauses that allow us to easily enforce it on your behalf.

We address each aspect of your business relationships from a contractual standpoint. Each contract we write clearly outlines each party’s obligations, compensation, and avenues for dispute resolution.

You may have contracts in place that you believe work well, and they may. Part of our services includes a comprehensive review of your existing contracts, making sure that they do not need renewals, that they contain all the proper elements (and so are not in danger of being voided), and addressing vague clauses or loopholes that could cause problems down the line. Our attorneys negotiate new contracts with your existing business partners as need be, ensuring that your enterprise is protected. And, when you’re ready to entertain a new business venture, we can draft and review the contracts for that.

Breach of Contract Litigation Representation

Breach of contract is the failure of one party to fulfill the terms. Occasionally, a contract cannot be fulfilled due to circumstances out of the signatory’s control, but it is often avoidable and can impact your business. Failure to deliver goods, poor subcontractor performance, or employee violation of an NDA or non-compete that gives your competitor an edge can all be considered a breach of contract.

Good contracts have clauses that address recourse in case of a breach, including binding arbitration to resolve the matter and preserving the aggrieved party’s ability to file a breach of contract lawsuit.

Volpe Law LLC represents you if your business finances and/ or reputation have suffered due to a breach of contract. We handle the legal heavy lifting, starting with identifying the full fiscal impact of the breach, preparing a lawsuit for breach of contract, and litigating the matter in court on your behalf. Our goal is to secure fair competition in a breach of contract action, whether we negotiate it in mediation or present our case to a judge. Contact our Colorado commercial contract lawyer today for a bespoke contract review.

Strong Contracts are the Cornerstone of Effective Commercial Operations

The contracts you have between your business partners, vendors and service providers, contractors, and employees define your professional relationships and respective obligations. From remuneration to details of each party’s obligation and even steps to take to resolve a contract dispute, a well-written contract protects you and ensures your business operates smoothly. When a dispute arises, though, it’s critical to have our experienced Colorado commercial contract lawyer representing your interests.

Types of Commercial Contracts Cases Our Firm Handles

  • Breach of contract: Failure to fulfill the terms of the contract is referred to as a breach. If one party fails to deliver per the terms of the contract, the affected party retains the right to sue for damages.
  • Intellectual property (IP): Proprietary and sensitive information, from lines of code to client lists, secret recipes and formulas, and branding trademarks, are all considered IP. Misuse or appropriation of IP entitles the IP owner to damages.
  • Partnership agreements: Effectively resolve partnership disputes to preserve your business. Business contracts may include a clause for binding arbitration or mediation to resolve differences of opinion or for one partner to leave the entity.
  • Employment contracts: NDAs, competition agreements, contractor contracts, and director and C-suite executive compensation contracts protect your business and ensure compliance with expectations.
  • Non-compete agreements: Ensure that your top salespeople and executives don’t hinder your market share and brand integrity by disclosing valuable company secrets to competitors or going to work for a direct competitor immediately after leaving your organization.
  • Non-disclosure agreements: Preserve your proprietary information and intellectual property integrity with strict IP use and licensing contracts.
  • Vendor and service provider agreements: These agreements set specific terms of payment in exchange for goods and services. They include delivery and payment schedules, quality expectations, and permission to substitute items or services.
  • Franchise contracts: Specific franchise contracts preserve brand integrity and proprietary information. They delineate expectations of operations, product standards, and other requirements for franchising your brand.
  • Lease agreements: Whether you are a residential or commercial property owner or a commercial tenant, you need a properly executed lease agreement outlining both tenant and landlord responsibilities in accordance with Colorado landlord-tenant laws.
